While we strive to support and maintain the plugin, we cannot guarantee bug fixes, compatibility with future engine versions, or ongoing maintenance at this time. As a result, we highly recommend that buyers have access to a skilled programmer for any projects where gFur is to be utilized.

gFur Plugin and Source Code License Agreement for Unreal Engine 5: Single Project for Publishers and Companies with Multiple Teams and Studios (Up to 50 Members)

 

This License Agreement (the "Agreement") is entered into by and between GiM, s.r.o. (the Licensor) and the buyer (the Licensee) (collectively, the "Parties") for the use of the gFur Plugin and its source code (the "Plugin") for Unreal Engine 5 for one commercial project. The license is intended for multiple teams or studios under the same publisher or parent company, accommodating a combined total of up to 50 members.

 

1. Grant of License

Subject to the terms and conditions of this Agreement, Licensor grants Licensee a non-exclusive, non-transferable, worldwide license to use the Plugin and its source code in its current form and any potential future updates specific to Unreal Engine 5 (which are not guaranteed), solely for the purpose of developing and distributing one commercial application or multimedia project or game using Unreal Engine 5.

 

2. License Scope, Team Size, and Team Growth:

a) This specific license is intended for publishers and companies with multiple teams or studios;

b) The license accommodates a combined total of up to 50 team members, including internal employees and long-term contractors, across all participating studios;

c) Long-term contractors are individuals engaged to work on the project for an extended period, contributing significantly like internal employees, regardless of project duration or changes in their engagement. The license includes team members engaged individually or provided by an outsource studio;

d) The license is based on the number of team members at the time of purchase. It remains valid if the combined team size grows beyond the initial 50 members during the license term, provided the growth is organic and not due to a merger, acquisition, or combination with another company. In such cases, the license becomes invalid, and a new license may be required based on the updated number of individuals and current license terms.

 

3. Restrictions

Licensee shall not:

a) Use the Plugin or its source code to create a different plugin for the same or different purpose that is publicly available (free or paid);

b) Incorporate the Plugin or its source code into an engine that is sold, whether as a standalone product or part of a larger offering;

c) Rent, lease, sublicense, or transfer the Plugin or its source code to any third party, excluding contractors working on the project, without Licensor's prior written consent.

 

4. No Warranty

The Plugin and source code are provided "as is" without any warranty, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Licensor does not warrant that the Plugin will meet Licensee's requirements or that its operation will be uninterrupted or error-free.

 

5. No Support or Guarantee; Pre-Purchase Evaluation:

This license does not include any support or guarantee for the provided code or binary. The buyer is responsible for evaluating and testing the code and binary before purchase to ensure its current state meets their requirements. By purchasing this license, the buyer agrees that the current state of the code is sufficient for their use and that they do not expect further support or maintenance.

 

6. Governing Law

This Agreement is governed by and construed in accordance with the laws of the country where the Licensor is located, without regard to its conflict of laws principles.

 

7. Entire Agreement

This Agreement constitutes the entire understanding between the Parties regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and representations, whether written or oral, relating to the Plugin.

 

"8. Good Faith and Fair Dealing:

The Parties agree to act in good faith and deal fairly with one another during the performance of this Agreement. In the event of any unintended gaps or ambiguities in the license terms, the Parties shall endeavor to resolve the issue in a manner that is consistent with the spirit and intent of this Agreement and in accordance with the principles of good faith and fair dealing."

 

By using the gFur Plugin and source code for Unreal Engine 5, Licensee acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.
